THE CONTENT MANAGEMENT SYSTEM CONTRACT BETWEEN TEDA HEALTH SCIENCE COLLEGE AND UNIVERSITY OF GONDAR

 

FOR DESIGNING, DEVELOPING, CUSTOMIZATION, TESTING AND EVALUATION, MAINTENANCE OF

WEBSITE CONTENT MANAGEMENT SYSTEM

Section I: Contract Agreement

 

This Contract is made for Designing, Developing and Hosting of a Dynamic Content management System (Website) on the_______________day of the month__________ of 2021, BETWEEN the TEDA HEALTH SCIENCE COLLEGE having its principal place of business (hereinafter called the “Public Body”) in Teda, Ethiopia and University of Gondar, established under the laws of Ethiopia and having its principal place of business at Gondar, Ethiopia (hereinafter called the “Supplier”), of the other part.

 

WHEREAS

 

(a). The Teda Health Science College is one of public higher education institutions established by law and deemed the Public Body in accordance with relevant public Developing and Hosting Dynamic Content management System (Website) under laws of Ethiopia;

(b) The Public Body requested for the following Dynamic Content management System (Website) and has accepted an offer by the Supplier for the supply of this System in the sum of Birr 85,000 (eighty five thousand) including VAT hereinafter in the manner and on the terms described herein;

 

(c). The Supplier having represented to the Public Body that it has the required skills, personnel and technical resources, has agreed to provide the Dynamic Content management System (Website) on the terms and conditions set forth in this Contract;

 

NOW THEREFORE the parties hereto hereby agree as follows:

 

  1. The Agreement

 

1.1    In this contract words and expressions shall have the same meanings as are respectively assigned to them in the Conditions of Contract referred to.

 

1.2    The following documents shall constitute the Contract between the Public Body and the Supplier, and each shall be read and construed as an integral part of the Contract:

 

  1. This Contract Agreement and Appendices attached to the Contract Agreement;

 

  1. The Special Conditions of Contract;

 

  1. The General Conditions of Contract;

 

  1. Project Proposal developed by the supplier to Design, Develop and implement Dynamic Content management System (Website);

 

1.3    This Contract shall prevail over all other Contract documents. In the event of any discrepancy or inconsistency within the Contract documents, then the documents shall prevail in the order listed above.

 

1.4    In consideration of the payments to be made by the Public Body to the Supplier as hereinafter mentioned, the Supplier hereby covenants with the Public Body to provide the Information System and to remedy defects therein in conformity in all respects with the provisions of the Contract.

 

1.5    The Public Body hereby covenants to pay the Supplier in consideration of the provision of the Information System and the remedying of defects therein, the Contract Price or such other sum

 

 

 

 

as may become payable under the provisions of the Contract at the times and in the manner prescribed by the Contract.

 

  1. Subject and Purpose of the Agreement
    • The services supplied by the suppliers shall include supply, Design, Develop, Host, configuration, customization, testing and evaluation, maintenance and support of a Dynamic Website. In addition, the supplier has the duty to render training for relevant staff of the public body.

The Website Developed by supplier shall be Application Development Unite of ICT Directorate of University of Gondar. The Website shall contain Downloadable links, Staff Profile, Contact us forms, Dynamic web pages, Map of the college and There contents described in Proposal.

  • During Website Administration, the supplier shall have the duty to use the latest Specification of computer.

 

  • The objective of the contract is enabling the public body to own a Dynamic Content management System (Website). The provisions of this contract shall be interpreted against this objective.
  1. Contract Price and Term of Payment
    • The price of the above services (Website) which are delivered by the supplier to the public body hereunder is total of ETB 85,000 ( eighty five thousand birr) including VAT
    • According to University of Gondar rule and regulation the public body has to pay additional 10% of total cost for benefit of the University of Gondar.
    • The contract prices shall be deemed to include the prices of necessary services including training costs essential to ensure a Dynamic Website.
    • The Fifty percent (50%) shall be paid in advance while twenty five percent (25%) shall be paid due upon delivering the completed design with the content management system in place the rest twenty five percent (25%) plus any incurred additional hourly fees no later than 30 days from when the completed design was delivered to Teda health Science College.

  1. Delivery
    • The contract periods shall be two months. The Supplier shall deliver and finalize the whole project within contract periods after the date of contract duly signed by both parties.

  1. Dispute Resolution
    • Any dispute, controversy or claim arising out of, or relating to this contract, or the breach, termination or invalidity thereof, shall be settled through Bona Fide Negations between the parties hereto.
    • Incase this attempt fails, any dispute arising from or related to this contract shall be settled by the Ethiopian Courts unless the parties agree to settle their dispute extra judicially by the way of arbitration.

 

  1. Effective Date

 

  • The contract shall be effective as of the date the contract is duly signed by both contracting parties.
